1. Scope and parties
(1) These Terms of Use (the "Terms") govern your use of the iOS application UGCut, this website, and our web subscription and creator services (together, the "Services"), provided by Pascal Lindenau, Forddamm 7, 12107 Berlin, Germany (the "Provider," "we," or "us").
(2) By downloading, installing, or using the App, or by using the website, a web subscription, or the creator program, you agree to these Terms. If you do not agree, please do not use the Services.
(3) The Services are offered to consumers and may also be used by businesses, provided these Terms are observed.
2. What the App does
(1) UGCut is a script-first, on-device video studio for UGC creators on iPhone: you write a script, record it with the teleprompter, auto-cut per sentence, add captions, and export a platform-ready video — all on your device. The transcription, sentence segmentation, auto-cut, and caption generation run on-device.
(2) All of your content — scripts, recordings, takes, transcripts, captions, and exported videos — stays on your device. We operate no servers that store your video content, and we do not sync or upload it. See our Privacy Policy for details.
(3) The App relies on Apple platform services (including the camera, microphone, on-device speech frameworks, the photo library, notifications, and the App Store). The optional web subscription additionally relies on a third-party payments provider. Their availability and behavior are governed by those providers and are outside our control.
3. License to use the App
(1) We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on Apple devices that you own or control, in accordance with these Terms and the Apple Media Services / App Store Terms.
(2) You may not copy, modify, reverse-engineer, decompile, resell, or sublicense the App except to the extent such restriction is prohibited by applicable law.
4. Free tier, UGCut Pro, and how you can buy it
(1) The App is free to download and use, and the full core loop — script → record → auto-cut → captions → export — is never gated. The free tier includes everything in the core loop; only a watermark, 4K export, and premium caption styles are reserved for Pro.
(2) UGCut Pro removes the watermark and unlocks 4K export and premium caption styles. Pro is available as an auto-renewing subscription (monthly and annual; the annual plan includes a 7-day free trial) or as a one-time lifetime purchase. Prices are shown before purchase and may change; the current published prices are the reference, not a contractual constant.
(3) There are two ways to buy:
- In-app via Apple — sold and processed by Apple (App Store / StoreKit). Apple is your counterparty for that payment; subscriptions are billed and auto-renew through your Apple ID; manage or cancel via your App Store subscription settings.
- On the web via our website — a subscription processed by a third-party payments provider; you bind it to the app with Sign in with Apple. Manage or cancel this subscription through the web billing portal linked from your account or the cancellation page.
We never receive or store your card details on either channel. You can restore a previous purchase through the App using your Apple ID, or on the web via Sign in with Apple.
(4) Auto-renewal and cancellation. Subscriptions renew automatically at the end of each period unless cancelled at least 24 hours before the period ends. Cancellation stops future renewals and takes effect at the end of the current paid period. Apple-channel subscriptions are managed in your App Store subscription settings; web-channel subscriptions in the web billing portal. The lifetime purchase does not renew. (5) Local taxes are handled by Apple for in-app purchases and by the payments provider for web subscriptions.
5. Creator / affiliate program
(1) The creator program is optional. You can join via Sign in with Apple, with instant approval. The binding terms below are a summary; the full policy is provided during creator onboarding.
(2) Commission is 25–30% recurring for 12 months on web-channel subscriptions only. In-app Apple purchases are never commissionable — please be sure you understand this before joining. A +5% performance tier applies at ten (10) or more active referrals per quarter.
(3) Commission is held pending through the refund window and is clawed back on refund or chargeback. Self-referral is prohibited (the same Apple ID, email, or payment instrument). Payouts run through our affiliate provider's payout rail monthly, above a minimum threshold; tax forms are handled by that provider.
(4) You promote UGCut through your own external channels and are responsible for lawful, non-deceptive promotion and for any applicable disclosures (for example, #ad or affiliate disclosure).
6. Your responsibilities
(1) You are responsible for using the App lawfully and for the content you create in it.
(2) You are responsible for keeping your device and Apple ID secure, and for managing your own backups. Because your content lives on your device, you alone control it; we recommend keeping your own backups of important projects and exports.
(3) You own and are responsible for the content of your scripts and videos and for any rights or consents needed for people or material appearing in them. You must not use UGCut to create unlawful, infringing, or deceptive content.
(4) You grant the App device permissions (camera, microphone, speech recognition, photos, notifications) voluntarily, and you may revoke them at any time in iOS Settings.
7. Availability and changes
(1) We aim to keep the Services working reliably but do not guarantee uninterrupted or error-free operation, particularly where Apple platform services, the third-party payments provider for the web channel, or your device configuration are involved.
(2) We may update, change, or discontinue features of the Services over time. Where a feature you paid for (Pro) is materially affected, we will act in good faith and in accordance with applicable consumer protection law.
8. Warranty disclaimer
(1) To the maximum extent permitted by applicable law, the App is provided "as is" and "as available," without warranties of any kind, whether express or implied. In particular, automatic transcription, sentence segmentation, auto-cut boundaries, and caption text are AI-generated estimates that may be inaccurate or incomplete and are one-tap correctable; you should not rely on them for any safety-critical or legal purpose.
(2) Nothing in these Terms excludes or limits any statutory warranty or consumer rights that cannot be excluded under the law applicable to you, including mandatory consumer protection rights under German and EU law.
9. Liability
(1) We are liable without limitation for damages arising from injury to life, body, or health caused by our breach of duty, and for damages caused intentionally or by gross negligence, as well as under the mandatory provisions of the German Product Liability Act (Produkthaftungsgesetz).
(2) For slight negligence, we are liable only for the breach of a material contractual obligation (an obligation whose fulfilment is essential to the proper performance of the contract and on which you may regularly rely), and in such cases liability is limited to the foreseeable damage typical for this type of contract.
(3) Any further liability is excluded to the extent permitted by law.
(4) The above limitations apply accordingly to our legal representatives and vicarious agents.
10. Refunds and cancellation
(1) For Apple-channel purchases (subscriptions and lifetime), refunds are handled by Apple under the App Store / Apple Media Services Terms. You can request a refund directly from Apple via reportaproblem.apple.com.
(2) For web-channel subscriptions, cancel or manage your subscription through the web billing portal; refunds are handled by us and our payments provider in accordance with these Terms and your statutory rights.

11. Governing law and jurisdiction
(1) These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer with habitual residence in the EU, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence.
(2) To the extent permitted by law, the place of jurisdiction is Berlin, Germany.
(3) We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
12. Apple as third-party beneficiary
(1) Where the App is obtained through Apple's App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. Your use of the App must also comply with the applicable Apple Media Services Terms and Conditions.
(2) The web subscription and the creator program are contracts directly with the Provider (not with Apple), processed via our third-party payments provider and our providers.
13. Severability and contact
(1) If any provision of these Terms is or becomes invalid, the validity of the remaining provisions remains unaffected.
