Terms of Use

1. Scope and parties
(1) These Terms of Use (the "Terms") govern your use of the iOS application UGCut and this website (together, the "Services"), provided by Pascal Lindenau, Forddamm 7, 12107 Berlin, Germany (the "Provider," "we," or "us").
(2) By downloading, installing, or using the App, or by using this website, you agree to these Terms. If you do not agree, please do not use the Services.
(3) The Services are offered to consumers and may also be used by businesses, provided these Terms are observed.
2. What the App does
(1) UGCut is a script-first, on-device video studio for UGC creators on iPhone. You write a script, record it with the teleprompter, auto-cut per sentence, add captions, and export a platform-ready video. Transcription, sentence segmentation, auto-cut, and caption generation run on your device.
(2) Your creator content, including scripts, recordings, takes, transcripts, captions, and exported videos, stays on your device. We do not operate servers that store or analyze that content. Limited anonymous purchase history is processed as explained in our Privacy Policy.
(3) The App relies on Apple platform services, including the camera, microphone, on-device speech frameworks, the photo library, and the App Store. Their availability and behavior are governed by Apple and are outside our control.
3. License to use the App
(1) We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on Apple devices that you own or control, in accordance with these Terms and the Apple Media Services and App Store terms.
(2) You may not copy, modify, reverse-engineer, decompile, resell, or sublicense the App except to the extent such restriction is prohibited by applicable law.
4. Free tier, UGCut Pro, and App Store purchases
(1) The App is free to download and use. The full core loop (script, record, auto-cut, captions, and export) is included in the free tier. A watermark, 4K export, and premium caption styles are reserved for Pro.
(2) UGCut Pro is available as an auto-renewing subscription (monthly or annual) or as a one-time lifetime purchase. Prices and any introductory trial eligibility are shown by Apple before purchase and may vary by country or change over time.
(3) Pro is sold and processed by Apple through the App Store and StoreKit. Apple handles payment details, billing, receipts, and applicable taxes. We do not receive or store your payment-card details. You can restore eligible purchases in the App using the Apple ID that made the purchase.
(4) Subscriptions renew automatically unless cancelled in accordance with Apple's subscription terms. Manage or cancel a subscription in your App Store subscription settings. Cancellation stops future renewals and normally takes effect at the end of the current paid period. A lifetime purchase does not renew. See our Right of Withdrawal & Refunds notice.
5. Your responsibilities
(1) You are responsible for using the App lawfully and for the content you create in it.
(2) You are responsible for keeping your device and Apple ID secure and for managing your own backups. Because your creator content lives on your device, we recommend keeping your own backups of important projects and exports.
(3) You own and are responsible for your scripts and videos and for any rights or consents needed for people or material appearing in them. You must not use UGCut to create unlawful, infringing, or deceptive content.
(4) Camera, microphone, speech recognition, and add-only Photos access are requested only when needed. You may deny or revoke them in iOS Settings. Imports use Apple's system picker, which shares only the item you choose with the App.
6. Availability and changes
(1) We aim to keep the Services working reliably but do not guarantee uninterrupted or error-free operation, particularly where Apple platform services or your device configuration are involved.
(2) We may update, change, or discontinue features over time. Where a Pro feature is materially affected, we will act in good faith and in accordance with applicable consumer protection law.
7. Warranty disclaimer
(1) To the maximum extent permitted by applicable law, the App is provided "as is" and "as available," without warranties of any kind, whether express or implied. Automatic transcription, sentence segmentation, auto-cut boundaries, and caption text may be inaccurate or incomplete. Review the result before publishing and do not rely on it for a safety-critical or legal purpose.
(2) Nothing in these Terms excludes or limits statutory warranties or consumer rights that cannot be excluded under applicable law, including mandatory rights under German and EU law.
8. Liability
(1) We are liable without limitation for damages arising from injury to life, body, or health caused by our breach of duty, for damages caused intentionally or by gross negligence, and under the mandatory provisions of the German Product Liability Act (Produkthaftungsgesetz).
(2) For slight negligence, we are liable only for breach of a material contractual obligation whose fulfilment is essential to proper performance and on which you may regularly rely. In such cases, liability is limited to foreseeable damage typical for this type of contract.
(3) Any further liability is excluded to the extent permitted by law.
(4) These limitations apply accordingly to our legal representatives and vicarious agents.
9. Refunds and cancellation
(1) Refunds for App Store subscriptions and lifetime purchases are handled by Apple under the Apple Media Services terms and applicable law. You can submit a request at reportaproblem.apple.com.

10. Governing law and jurisdiction
(1) These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer with habitual residence in the EU, this choice of law does not deprive you of mandatory protections under the law of your country of residence.
(2) To the extent permitted by law, the place of jurisdiction is Berlin, Germany.
(3) We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
11. Apple as third-party beneficiary
Where the App is obtained through Apple's App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. Your use of the App must also comply with the applicable Apple Media Services terms.
12. Severability and contact
(1) If any provision of these Terms is or becomes invalid, the validity of the remaining provisions remains unaffected.
